Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Convenient Contractor website (the "Site") and services (collectively, the "Services") operated by Convenient Contractor LLC ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Definitions

• "Site" refers to the Convenient Contractor website and its subdomains.
• "Services" refers to the platform provided by Convenient Contractor LLC that connects Users seeking home services with independent Contractors.
• "User" refers to any individual or entity seeking home services through our Site.
• "Contractor" refers to any independent service professional or business registered on our Site to offer their services to Users.
• "Content" means any text, graphics, images, music, software, audio, video, information or other materials, including but not limited to profiles, project requests, quotes, and reviews.

2. Description of Services

Convenient Contractor provides an online platform to connect Users with Contractors for various home improvement, repair, and maintenance services. We facilitate the initial connection by allowing Users to post project requests and Contractors to offer quotes or express interest.

Important Acknowledgment: Convenient Contractor is solely a platform provider. We are not a contractor, nor do we perform any home services ourselves. Contractors are independent third-party providers and are not employees, agents, or representatives of Convenient Contractor LLC. We do not endorse or recommend any specific Contractor, nor do we guarantee the quality or outcome of their work.

3. Eligibility and Account Registration

3.1 Eligibility

To use our Services, you must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of entering into legally binding contracts.

3.2 Account Creation

Users and Contractors may need to create an account to access certain features. You agree to:

• Provide accurate, current, and complete information during the registration process and update such information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your account credentials.
• Notify us immediately of any unauthorized use of your account.
• Be responsible for all activities that occur under your account.

4. User Obligations (Customers)

• Project Information: You agree to provide accurate and complete details about your service needs when submitting a project request.
• Interactions with Contractors: You are responsible for your interactions with Contractors. While we facilitate connections, any agreements or contracts for services are solely between you and the Contractor.
• Reviews: You may be able to post reviews of Contractors. Reviews must be truthful, based on your firsthand experience, and not contain offensive, defamatory, or illegal content. We reserve the right to remove reviews that violate these Terms.
• Payment: Payment terms for services rendered by Contractors are to be agreed upon directly between the User and the Contractor, unless otherwise specified for particular platform services (e.g., lead fees paid by Contractors to Convenient Contractor). Convenient Contractor is not responsible for payment disputes between Users and Contractors.

5. Contractor Obligations

• Profile Information: You agree to provide accurate, current, and complete information for your Contractor profile, including business name, services offered, service areas, licensing, insurance, and certifications. You are responsible for keeping this information up-to-date.
• Licensing and Insurance: You represent and warrant that you possess all necessary licenses, permits, and insurance required by applicable laws and regulations to perform the services you offer. You agree to provide proof of such upon request and maintain their validity.
• Service Quality: You are solely responsible for the quality, timeliness, and legality of the services you provide to Users.
• Professional Conduct: You agree to conduct yourself professionally and ethically in all interactions with Users and with Convenient Contractor.
• Compliance with Laws: You agree to comply with all applicable local, state, federal, and international laws and regulations in connection with your use of the Service and your provision of services to Users.
• Background Checks: You acknowledge and agree that Convenient Contractor may, but is not obligated to, conduct background checks or verify information you provide (e.g., license, insurance). You agree to cooperate with such verification processes.
• Fees: [If applicable, detail any fees Contractors pay to Convenient Contractor, e.g., for leads, subscriptions, or commissions. Example: "Contractors may be subject to fees for leads received or for maintaining a premium profile. 6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Posting false, misleading, or inaccurate information.
• Infringing on the intellectual property rights of others.
• Harassing, abusing, or harming another person.
• Interfering with or disrupting the integrity or performance of the Service.
• Attempting to gain unauthorized access to the Service or its related systems or networks.
• Scraping, data mining, or otherwise extracting data from the Site without our express written permission.
• Using the platform to arrange services that are illegal or unethical.

7. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Convenient Contractor LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

By submitting Content (e.g., reviews, project descriptions, profile information) to the Site, you grant Convenient Contractor a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Service and Convenient Contractor's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service.

8. Third-Party Links and Services

Our Service may contain links to third-party web sites or services that are not owned or controlled by Convenient Contractor LLC (e.g., Contractor websites, supplier websites). We have no control over, and assume no responsibility for the content, privacy policies, or practices of any third-party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that Convenient Contractor LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

9. Disclaimers

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

CONVENIENT CONTRACTOR LLC, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT:

• THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
• ANY ERRORS OR DEFECTS WILL BE CORRECTED;
• THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
• THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

CONVENIENT CONTRACTOR LLC DOES NOT GUARANTEE THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED BY USERS OR CONTRACTORS. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OR CONTRACTOR. WE DO NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF CONTRACTORS. ANY HIRING DECISION IS MADE AT THE USER'S SOLE DISCRETION AND RISK.

10. Limitation of Liability

IN NO EVENT SHALL CONVENIENT CONTRACTOR LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (III) ANY CONTENT OBTAINED FROM THE SERVICE; (IV) SERVICES PROVIDED BY CONTRACTORS OR ANY DISPUTES BETWEEN USERS AND CONTRACTORS; AND (V) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL BE LIMITED TO [Specify Amount, e.g., $100 or the amount of fees, if any, paid by you to Convenient Contractor in the past 12 months].

11. Indemnification

You agree to defend, indemnify and hold harmless Convenient Contractor LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service. This indemnification obligation includes, but is not limited to, any claims arising from services provided by Contractors or interactions between Users and Contractors.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Dispute Resolution: [This is a critical section. You should consult with legal counsel. Common options include:
Option 1 (Negotiation/Mediation then Arbitration): "Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations between the parties. Option 2 (Direct to Arbitration): "Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in [City, New Jersey] before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures [or other provider/rules]. Judgment on the Award may be entered in any court having jurisdiction."
You should also consider including a Class Action Waiver: "YOU AND CONVENIENT CONTRACTOR LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING."]

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least [e.g., 15-30] days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Convenient Contractor LLC regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
• No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Convenient Contractor LLC's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Convenient Contractor's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. Convenient Contractor may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
